If you are submitting a photo or video (the “Entry”) on behalf of an organization, you represent that you have the authority to bind that organization to these Terms and Conditions. If the organization that you represent alleges that you did not have the authority to bind the organization and/or to submit the Entry, then between you and the American Society for the Prevention of Cruelty to Animals, you shall be responsible for any damages or liabilities that may arise in connection with your submission of the Entry. By submitting an Entry, submitter confirms that (i) he/she is at least 18 years of age and has reached the age of majority in the jurisdiction in which he/she resides; (ii) he/she is the sole owner of the Entry, is authorized to bind the sole owner of the Entry if the owner is an organization, or has received permission from the owner to submit it on his or her behalf; (iii) he/she is the author of the text contained in the submitted caption or is presenting text written by the organization that owns the Entry; (iv) he/she, either directly or on behalf of the organization s/he represents, has received permission to use the name of each person appearing in the Entry from such person if at least 18 years of age and having reached the age of majority in the jurisdiction in which such person resides or from the legal guardian of any minor appearing in the Entry; and (v) he/she fully understands, accepts and agrees to be bound by these rules or agrees to bind the organization s/he represents, as applicable. Entries may not include (i) images and names of any person other than submitter if submitter is an individual unless (a) such person is at least 18 years of age, has reached the age of majority in the jurisdiction in which the such person resides, and has consented to such person’s image or name being used or (b) such person is under 18 years of age and the legal guardian of such minor has consented to the minor’s image and name being used; (ii) images of any animal unless the owner of such animal is at least 18 years of age, has reached the age of majority in the jurisdiction in which such owner resides, and has consented to the animal’s image and name being used; or (iii) any images or text that may infringe upon the intellectual property rights of a third party. By submitting the Entry and caption, you, or the organization you represent, give the ASPCA an irrevocable perpetual royalty-free, sub-licensable, non-exclusive, worldwide right to use your name, text and/or Entry for any purpose, including fundraising, to promote the ASPCA’s mission of providing effective means for the prevention of cruelty to animals throughout the United States. By submitting the Entry and caption, you, on your own behalf or on behalf of your organization, agree that in no event shall the ASPCA be liable for any losses, expenses or damages (including third party complaints or litigations) resulting from the ASPCA’s use of your or your organization’s name, the text provided, and/or the Entry. You, on your own behalf or on behalf of your organization, further agree to indemnify, defend and hold harmless the ASPCA from and against any and all costs and/or expenses that may arise out of any use of your or your organization’s name, the text provided and/or the Entry by the ASPCA.
